These SuiLink Terms (“Terms”) is an addendum to, governed by, and incorporated into, the Sui Foundation Terms of Service (which are accessible at https://sui.io/terms) and sets forth your use of the website and other offerings located at https://www.suilink.io (the “Site”) and the products and services located on the Site offered by the Sui Foundation (“Sui Foundation”, “we”, “us”, “our”) that provides an interface that allows you to easily manage and view all your linked wallet addresses on the Sui Blockchain (such interface, “SuiLink”). Capitalized terms used but not defined in these Terms will have the meanings given to them in the Sui Foundation Terms of Service.

How does SuiLink work?

Users with wallets on the Sui Blockchain (“Sui Wallets”) that want to utilizeSuiLink can use the Site to interact with the Sui Blockchain to generate anontransferable digital record on the Sui Blockchain (the “Sui NFT Pass”) thatidentifies an account the user controls on another blockchain (“Linked Blockchain”). The Sui NFT Pass cannot be transferred or sold; it is a permanent Sui-based representation of a Sui Blockchain user’s connection to an account on a Linked Blockchain. The Sui NFT Pass does not represent the verification of any Sui Blockchain user’s legal identity and should not be relied on as such. If you would like to permanently sever the connection between your Sui NFT Pass and a Linked Blockchain, you may “burn” your Sui NFT Pass.

The Linked Blockchains currently supported are Ethereum and Solana. We maychange the list of Linked Blockchains we support at any time in our solediscretion. Any such changes will not affect any previously minted Sui NFTPass.

You represent and warrant that you own or control all accounts on LinkedBlockchains that you link to your Sui NFT Pass.

License to Linked Art

Subject to your compliance with these Terms, Sui Foundation hereby grants toyou, for so long as you own a Sui NFT Pass (as recorded on the Sui Blockchain),a non-exclusive, worldwide, royalty-free, revocable license, with no right tosublicense, to use, copy, display the art linked to your Sui NFT Pass (the “Art”) for your own personal, non-commercial use (e.g., personal display).

All rights in and to the Art not expressly provided for in these Terms are herebyreserved by Sui Foundation. The Art is licensed, not sold. Sui Foundation andits licensors own and will retain all title, interest, ownership rights andintellectual property rights in and to the Art

THE SUI NFT PASSES ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANYKIND. WITHOUT LIMITING THE FOREGOING, SUI FOUNDATION AND ITSLICENSORS EXPLICITLY DISCLAIMS ANY IMPLIED WARRANTIES OFMERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. SUI FOUNDATION AND ITS LICENSORS MAKES NO WARRANTY THAT THE SUI NFT PASSES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. SUI FOUNDATION AND ITS LICENSORS MAKES NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY INFORMATION OR CONTENT ON THE SUI NFT PASSES.

THE SUI NFT PASSES ARE INTANGIBLE DIGITAL ASSETS. THEY EXIST ONLY BYVIRTUE OF THE OWNERSHIP RECORD MAINTAINED ON THE SUI BLOCKCHAIN.

SUI FOUNDATION AND ITS LICENSORS ARE NOT RESPONSIBLE FOR ANY KINDOF FAILURE, ABNORMAL BEHAVIOR OF SOFTWARE (E.G., WALLET, SMARTCONTRACT), BLOCKCHAINS OR ANY OTHER FEATURES OF THE SUI NFT PASSES OR PACKAGES. SUI FOUNDATION AND ITS LICENSORS ARE NOT RESPONSIBLE FOR CASUALTIES DUE TO LATE REPORT BY DEVELOPERS OR REPRESENTATIVES (OR NO REPORT AT ALL) OF ANY ISSUES WITH THE BLOCKCHAIN SUPPORTING THE SUI NFT PASSES, INCLUDING FORKS, TECHNICAL NODE ISSUES OR ANY OTHER ISSUES HAVING FUND LOSSES AS A RESULT. UNLESS EXPRESSLY STATED, SUI FOUNDATION IS NOT RESPONSIBLE FOR ANY ENTITLEMENTS, INCLUDING REWARDS, THAT YOU MAY RECEIVE IN CONNECTION WITH YOUR SUI NFT PASS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES IN CONTRACTS WITH CONSUMERS, SO THE ABOVE EXCLUSIONMAY NOT APPLY TO YOU.
